The agreement between you and XicoAI for using Lumi — your account, your content, AI features, paid plans, termination and disputes.

Welcome to Lumi. Lumi is provided by Zhixike Technology (Guangzhou) Co., Ltd. (“XicoAI”, “we”, “us”). These Terms of Service (“Terms”, also known as the User Agreement) are the agreement between you and us for accessing and using the Lumi website, the Lumi web app, the Lumi apps for iPhone, iPad and Mac, and related services (together, “Lumi” or the “Service”).

Please pay particular attention to the terms in bold. They cover auto-renewal, exclusions and limits of our liability, limits on your rights, governing law and dispute resolution, and they matter to your rights. If you have any questions about these Terms, contact us at support@xicoai.com before you use Lumi. If you are under 18, please read these Terms with a parent or guardian.

1. Accepting these Terms

  1. By signing up for, signing in to or otherwise using Lumi, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use Lumi.
  2. The following documents form part of these Terms and have the same effect:
  3. How we handle your personal information is described in our Privacy Policy, together with the Personal Information Collection List, the Third-Party Sharing & SDK List, the Children’s Privacy and the Cookies & Local Storage Notice.
  4. If these documents conflict: the AI Service Terms govern AI features; the Subscription & Auto-Renewal Terms govern payments; the Privacy Policy governs the processing of personal information; and these Terms govern everything else.

2. Eligibility

  1. Minimum age: you must be at least 14 in mainland China and at least 13 everywhere else, or older where local law requires it (for example, up to 16 in some EU countries).
  2. If you are under 18, you may use Lumi, and make any purchase in it, only with the consent of a parent or guardian.
  3. AI features are available only to users who are at least 18, or older where local law requires it.
  4. Lumi is not directed to children. If we learn that we collected a child’s personal information without verified parental or guardian consent, we will delete it promptly. Parents and guardians can contact us at support@xicoai.com. See the Children’s Privacy.
  5. You must have the legal capacity to enter into these Terms and must not be barred from using the Service under applicable law.
  6. Lumi is for personal use. You may use it to manage your own life and work, but you may not resell, rent out or otherwise provide the Service to others.

3. The Service and its availability

3.1 What Lumi is

Lumi is an AI-native personal life app. It brings Today, quick capture, tasks, calendar, journal, docs, money, habits, life goals and growth plans into one place, with an AI companion named Lumi (you can rename it) that helps you record, plan, reflect and grow. Lumi shows no ads.

3.2 Platforms

  • The web app is available now as early access at lumi.xicoai.com/app.
  • The iPhone, iPad and Mac apps are in development and coming soon to the App Store. We have not announced a release date.
  • Windows and Android versions are planned after the Apple apps and the web app are stable.

Data in your account syncs between your devices through our servers.

3.3 Data region

When you sign up, Lumi selects a data region for your account based on your App Store storefront or system region (you can switch it on the sign-in screen). It does not change automatically after sign-up. Today Lumi runs one production deployment: our servers and database are hosted by Amazon Web Services in Tokyo, Japan, and backups are currently kept locally on the production server on a rolling schedule. Amazon S3 off-site backups are not enabled. A mainland China data region is planned. See the Privacy Policy for where your data is stored, cross-border transfers and your rights.

3.4 Differences between versions

Some features vary by platform, region, plan or legal requirement, and some are marked “coming soon”. Descriptions of features on our website, in the app and in the Help Center are subject to the version you actually use.

3.5 Availability

We make reasonable efforts to keep Lumi stable and secure and, when you are offline, to let you keep working with data already synced to your device. However, Lumi may be temporarily unavailable because of maintenance, upgrades, network failures, third-party outages or events beyond our control, and we do not promise that the Service will be uninterrupted or error-free. We will try to give advance notice of major planned maintenance.

4. Your account and security

4.1 Signing up and signing in

You can sign in with Apple, Google, WeChat, QQ, an email one-time code, a phone one-time code (currently +86 numbers only) or a password. Available methods vary by platform and region. You can link or unlink sign-in methods in Settings → Account & Security; sign-in methods that share the same verified email address are combined into one account automatically.

4.2 Your responsibilities

  • Give accurate registration information and keep it up to date;
  • Keep your devices, password and one-time codes safe;
  • Use your account only yourself; do not lend, transfer or sell it;
  • Tell us immediately at support@xicoai.com if you notice any unauthorized use of your account.

You are responsible for activity that takes place through your account, unless it results from our fault.

4.3 Security tools we provide

In Settings → Account & Security you can see the devices signed in to your account, sign out any of them remotely, and review your security activity for the last 90 days (such as sign-ins, new devices, password changes and linking or unlinking sign-in methods). See Security for the measures we take.

5. Your content

5.1 You own your content

“Your content” means everything you create, upload, import or sync in Lumi, including journal entries, tasks, events, docs, transactions, habit records, goals and plans, attachments and your conversations with Lumi. You (or the original rights holder) own your content. We do not acquire ownership of it by providing the Service.

5.2 The limited license you give us

So that we can provide the Service, you grant us a worldwide, non-exclusive, royalty-free, non-transferable license to use your content, including through service providers acting on our behalf (listed in the Third-Party Sharing & SDK List), only to:

  1. Store and host your content, transfer it over encrypted connections, and sync it between your devices;
  2. Back it up and restore it to prevent data loss;
  3. Process it as you direct, for example to search, format, create export files, and sync two ways with calendar and task services you connect;
  4. Only after you agree to use AI features, send the minimum content needed for a task to the relevant AI model provider to produce the result you asked for (see the AI Service Terms);
  5. Keep the Service secure, prevent fraud and abuse, and comply with the law.

This license ends when you delete the content or your account, except that data already in local backups expires on the backups’ rolling schedule (see Delete Your Account).

5.3 What we will not do

  • We do not use your content to train any AI model, and we do not allow AI model providers to train models on it.
  • We do not sell your content or personal information, and we do not use them for advertising.
  • Our support and operations tools cannot see your content. They show only account, subscription and usage counts and metadata. The only exception is content you choose to include in feedback.

5.4 Your promises about your content

You promise that you have the right to use your content in Lumi and that your content and your use of it do not break the law or infringe anyone’s rights. If your content includes other people’s personal information (for example, about family members or colleagues), you are responsible for having a lawful basis to record and use it.

5.5 Unlawful content

Apart from content-safety review of AI features (see the AI Service Terms), we do not view or review your private records. However, where the law requires it, or when we receive a valid rights notice or a request from a competent authority, we may take necessary steps such as removing, blocking or restricting the sharing of the content concerned, and we will tell you where the law allows.

6. Acceptable use

You may not use Lumi to do, or help anyone else do, any of the following:

  1. Create, store or distribute content that is prohibited by law, or carry out any unlawful activity;
  2. Infringe anyone’s intellectual property, portrait, reputation, privacy or personal information rights;
  3. Harass, threaten or defraud others, or impersonate any person or organization;
  4. Upload or spread malware, or interfere with or damage Lumi’s servers, networks or security measures;
  5. Reverse engineer, decompile or try to obtain Lumi’s source code, except to the extent the law expressly permits;
  6. Access Lumi with crawlers, scripts or other automated means without our written permission, or get around rate limits, usage limits or payment mechanisms;
  7. Create multiple accounts to abuse free allowances, free trials or other offers;
  8. Resell, rent out or sublicense Lumi or its AI capabilities;
  9. Try to access other users’ accounts or data;
  10. Break the AI usage rules in the AI Service Terms.

If you break these rules, we may take the steps described in Section 15.

7. AI features

Lumi’s AI features are governed by the AI Service Terms. In short:

  • AI features are off by default. Before you first use cloud AI, a dedicated consent screen explains which data Lumi reads, which model provider receives it and why. AI is turned on only after you explicitly agree. You can turn Lumi’s access on or off for each module and withdraw your consent at any time.
  • You must be at least 18 to use AI features. Users in mainland China are served by DeepSeek, a domestically filed model, and their AI inputs and outputs pass through a keyword content filter.
  • AI-generated content may be inaccurate or incomplete. Numbers Lumi shows about your data are computed by deterministic tools, but AI interpretations and suggestions can still be wrong. Verify anything important before you rely on it.
  • Lumi does not give medical, legal, financial, investment, tax, immigration or psychological-treatment advice, and it is not an emergency service.
  • AI answers in conversations are labeled “AI-generated” by default. When you export your data, AI-generated content in the export files carries an “AI-generated” label, and the archive includes metadata naming the service provider.
  • AI usage is metered in tokens.

8. Paid services

Lumi’s core recording features are free. We also offer Pro and Max memberships and token packs. See Pricing and the Subscription & Auto-Renewal Terms for prices and rules. The key points:

  • You can buy through In-App Purchase (processed by Apple), through Stripe on the web (outside mainland China) or through WeChat Pay and Alipay on the web (mainland China), as shown on the purchase page. What you buy on one platform works on all your devices.
  • Memberships are auto-renewing subscriptions. Unless you cancel before the end of the current period (at least 24 hours before it ends for App Store subscriptions), your subscription renews automatically for the same period at the then-current price, and you will be charged.
  • Before every auto-renewal charge, we tell you in advance when you will be charged, how much, and how to cancel. You can cancel at any time, and your membership stays active until the end of the period you have paid for.
  • Purchased tokens never expire.
  • Refunds for App Store purchases are handled by Apple. Refunds for web purchases are handled under applicable law and the payment channel’s rules.

9. Third-party services and integrations

Lumi works with third-party services, for example:

  • Sign-in: Apple, Google, WeChat, QQ;
  • Integrations: Google Calendar, Microsoft Outlook Calendar and Microsoft To Do, Apple Calendar and Reminders on your device, and Apple Health (optional, with separate permission);
  • Payments: Apple, Stripe, WeChat Pay, Alipay;
  • AI model providers: see the AI Service Terms.

When you use a third-party service, its own terms and privacy policy also apply. Third-party services are the responsibility of their providers, and we are not responsible for their availability, their accuracy or what those third parties do. This does not limit our responsibility for our own fault.

  • Once you connect a calendar or task service, Lumi syncs with it in both directions: changes you make to those items in Lumi are written back to that service. If there is a conflict, the version in the external service wins.
  • You can disconnect at any time in Settings, or revoke access in your Google or Microsoft account settings. When you disconnect, we revoke (Google) or delete (Microsoft) the access token and delete Lumi’s mirrored copy of that integration’s data (you can choose to keep items you imported).
  • Lumi’s use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. See the Privacy Policy.
  • If a third-party service changes or shuts down, related Lumi features may stop working.

10. Data export and portability

  • Every user can export their data for free: in the web app under Settings → Privacy & Data → Export all data, or in the Apple apps under Settings → Account & Security → Export my data. You get a zip file with JSON data, Markdown files for your journal and docs, and a CSV file of your money transactions; attachment files such as photos are not included for now. You can download the archive for 24 hours after it is created.
  • You can also export individual items, for example a doc as Markdown, PDF or HTML.
  • We will never use export restrictions to keep you in Lumi. If we stop providing the Service or close your account, we will give you reasonable time to export your data, unless the law prohibits it.

11. Intellectual property

  1. Lumi’s software, interface, the 光阴 (“Guangyin”) design language, the orb mark, icons, illustrations, templates and copy, and the Lumi and XicoAI names and logos, belong to us or our licensors and are protected by law.
  2. As long as you comply with these Terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Lumi on devices you own or control in order to use the Service.
  3. You may freely use the templates and presets we provide (such as journal prompts and habit presets) in your own content, but you may not resell them on their own or publish them as a template collection.
  4. You may not use our names, logos or design elements without our written permission, or in a way that suggests a partnership with or endorsement by us.
  5. Open-source software included in Lumi is subject to its own licenses, listed in the app under Settings → About → Open-source licenses.

12. Feedback

You can send us suggestions through Help & Feedback in the app or at support@xicoai.com. You agree that we may use your suggestions to improve Lumi free of charge and without any duty of confidentiality or payment for the suggestion itself. We will not publicly identify you without your consent. If you attach your content to feedback (such as a screenshot or part of a conversation), only authorized staff will use it, only to handle that feedback, and it is treated as described in the Privacy Policy.

13. Early access and beta features

  • The web app is currently in early access. Features labeled “Early Access”, “Beta” or “Experimental” may be incomplete, may contain errors, and may be changed or removed.
  • We protect your data in these features to the same standard, but we still recommend exporting important data regularly.
  • A beta feature that is free today may become a paid feature later. We will tell you before we start charging, and whether to pay is up to you.
  • To the extent the law permits, beta features are provided as is, without any additional warranty.

14. Changes to the Service and these Terms

14.1 Changes to the Service

We keep improving Lumi and may add, change or remove features. If we remove a major feature of a paid plan or significantly reduce what a paid plan includes, we will tell you in advance and, for any paid period affected, provide a reasonable remedy under applicable law, such as a pro-rata refund.

14.2 Changes to these Terms

  • We may update these Terms because of changes in the law, the Service or our business. We will post the updated Terms on this page and update the “Last updated” date at the top.
  • For changes that materially and adversely affect your rights or obligations, we will notify you at least 30 days in advance by in-app notice, email or an announcement on our website. Changes required by law or by urgent security needs may take effect sooner.
  • If you do not agree with a change, you can stop using Lumi, cancel your subscription and delete your account before it takes effect. To the extent the law permits, if you keep using Lumi after a change takes effect, you accept the updated Terms.

15. Suspension and termination

15.1 You can leave at any time

You can stop using Lumi at any time and delete your account as described in Delete Your Account. Deleting your account does not cancel a subscription you bought through the App Store. Cancel it in Apple’s subscription settings first.

15.2 Steps we may take

If you break these Terms or the law, if your conduct puts other users, third parties or Lumi at risk, if there is fraud or payment abuse, or if a competent authority lawfully requires it, we may, depending on the circumstances, warn you, restrict some features, or suspend or terminate your account. Any step we take will be proportionate. We will tell you why, unless the law prohibits it or telling you would compromise an investigation or someone’s safety. You can appeal by writing to support@xicoai.com, and we will review our decision.

15.3 Termination for your breach

If we terminate your account because you seriously broke these Terms or engaged in unlawful activity, we will not refund fees you have paid, to the extent the law permits.

15.4 If we stop providing the Service

If we decide to discontinue Lumi, or to stop offering it in a country or region, we will give you at least 30 days’ notice and time to export your data, and we will handle prepaid but unused membership time and purchased tokens under applicable law, including pro-rata refunds.

15.5 After termination

When your account ends, your right to use Lumi ends too. Provisions that by their nature should survive termination continue to apply, such as ownership of content, intellectual property, disclaimers, limitation of liability, indemnity, and governing law and dispute resolution.

16. Deleting your account

You can delete your account in the app (Settings → Account & Security → Delete Account), in the web app at lumi.xicoai.com/app (Settings → Privacy & Data → Delete account), or by email. Deletion has a 7-day cooling-off period: sign in during those 7 days and choose to restore your account to cancel it. After that, we delete your content and personal information, except information the law requires us to keep. See Delete Your Account.

Before you delete: deletion does not cancel App Store subscriptions, and unless the law requires otherwise, any remaining membership time and purchased tokens are forfeited with the account and will not be refunded.

17. Disclaimers

To the fullest extent the law permits:

  • Lumi is provided “as is” and “as available”. Except for the commitments expressly made in these Terms, we make no other express or implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy or uninterrupted operation.
  • Reminders, notifications, calendar sync and AI briefings may be delayed or fail because of device settings, network conditions or third-party services. Do not rely on Lumi as your only reminder for critical matters such as medication, legal deadlines or flights.
  • We take reasonable measures to prevent data loss, including periodic local backups on the production server, but we still recommend exporting important data regularly.
  • Amounts, reports and budgets in the money module are based on the data you enter or import. Lumi is not an accounting, tax or investment tool.
  • Health-related data and suggestions are there to help you understand yourself. They are not a substitute for professional medical advice.

Nothing in this section affects rights you have by law that cannot be excluded by contract.

18. Limitation of liability

To the fullest extent the law permits:

  1. We are not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, goodwill, opportunity or anticipated savings.
  2. Our total liability to you arising out of these Terms or the Service is limited to the greater of: the total amount you paid for Lumi (including through Apple or other channels) in the 12 months before the event giving rise to the liability; or US$100 (or the equivalent in local currency at the exchange rate when you paid).
  3. These limits do not apply to: loss caused by our intentional misconduct or gross negligence; liability for death or personal injury; fraud; or any other liability that cannot be excluded or limited by law.
  4. If you are a consumer in the EU, the UK or another region, your statutory rights under local law (such as remedies when digital content or a digital service does not conform to the contract) are not affected by this section, and we are responsible for loss caused by our breach of these Terms that was reasonably foreseeable when the contract was made.

19. Indemnity

To the extent the law permits, if a third party brings a claim against us because you broke these Terms or the law, or because your content infringes someone else’s rights, you will compensate us for the reasonable losses we incur as a result (including reasonable legal fees), to the extent you are responsible. We will notify you promptly and let you take part in the defense.

20. Governing law and disputes

  1. These Terms, including their formation, validity, interpretation, performance and any dispute about them, are governed by the laws of the People's Republic of China (for the purposes of these terms, excluding Hong Kong, Macao and Taiwan).
  2. If a dispute arises, please contact us first at support@xicoai.com. We will try to resolve it with you through negotiation within 30 days.
  3. If negotiation fails, either party may submit the dispute to the competent people's court at the defendant's domicile.
  4. If you are a consumer, the mandatory protections of the law of the country where you habitually live, which cannot be excluded by agreement, still apply to you. Where local law allows, you may also bring proceedings in the courts of the place where you habitually live.

21. Notices

  • We may send you notices in the app, by push notification, to the email address or phone number linked to your account, or by an announcement on our website. A notice sent by email or text message is treated as delivered once it is successfully sent, unless the law provides otherwise. Please keep your contact details up to date.
  • You can send notices to us at support@xicoai.com (for legal notices, put “Legal notice” in the subject line) or by mail to Rm 215A, Rm 410, 4/F, Bldg 1, No. 19 Guangsheng Rd, Nansha, Guangzhou, Guangdong, China.

22. Language versions

These Terms have two official versions, Simplified Chinese and English. The Traditional Chinese version is converted from the Simplified Chinese version and is provided for reference only. If the two official versions differ:

  • If you are located in mainland China, Hong Kong, Macau or Taiwan, the Simplified Chinese version governs;
  • If you are located anywhere else, the English version governs;
  • If applicable law requires a different language version to govern, that requirement applies.

We draft these Terms in Simplified Chinese, and the English version is a faithful equivalent. Deciding the governing version by region gives both you and us a clear answer to which text controls, and lets most users rely on the language they are most likely to use.

23. General

  1. Entire agreement: these Terms, together with the documents listed in Section 1, are the entire agreement between you and us about the Service.
  2. Severability: if any provision of these Terms is found invalid or unenforceable, the other provisions remain in effect, and that provision will be enforced as closely to its original intent as the law allows.
  3. No waiver: if we do not exercise, or delay exercising, a right under these Terms, we have not waived it.
  4. Assignment: you may not transfer your rights or obligations under these Terms without our written consent. We may transfer these Terms to a successor in a merger, acquisition, reorganization or sale of assets. We will notify you if we do, and the transfer will not reduce your rights under these Terms.
  5. Force majeure: neither party is liable for failing to perform these Terms to the extent the failure is caused by events beyond its reasonable control, such as natural disasters, war, government action, public health emergencies, large-scale cyberattacks, or failures of core telecommunications or cloud services. The affected party must notify the other promptly and do its best to limit the impact.
  6. Headings: headings are for convenience only and do not affect interpretation.

24. Additional terms for apps downloaded from the App Store

If you download Lumi from Apple’s App Store, the following terms also apply. If they conflict with the rest of these Terms, this section governs.

  1. Parties: these Terms are an agreement between you and XicoAI only, and not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for Lumi and its content.
  2. Scope of license: your license to use Lumi is non-transferable and limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. Where those rules allow it (for example, through Family Sharing), other accounts associated with yours may also use the Lumi app. The rules for sharing memberships and tokens are in the Subscription & Auto-Renewal Terms.
  3. Maintenance and support: we are solely responsible for providing maintenance and support for Lumi. Apple has no obligation to provide any maintenance or support services for Lumi.
  4. Warranty: we are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If Lumi fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for Lumi (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Lumi, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our responsibility under these Terms.
  5. Product claims: we, not Apple, are responsible for addressing any claims by you or any third party relating to Lumi or your possession and use of Lumi, including product liability claims, claims that Lumi fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation, including in connection with Lumi’s use of frameworks such as HealthKit.
  6. Intellectual property: if a third party claims that Lumi or your possession and use of Lumi infringes that third party’s intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement and discharge of that claim.
  7. Legal compliance: you represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Contact: direct any questions, complaints or claims about Lumi to us as set out in Section 25.
  9. Third-party terms: when using Lumi, you must comply with applicable third-party terms of agreement, such as your wireless data service agreement.
  10. Third-party beneficiary: Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
